Terms of Service

These Terms of Service ("Terms") govern access to and use of the Vore platform, website and applications (the "Platform") operated by VORE MEDIA TECH PRIVATE LIMITED (CIN U63120MP2026PTC085848) ("Vore", "we", "us"). By registering or using the Platform, you ("User") agree to these Terms.

1. Definitions

  • "Brand" — a business or individual that creates and funds a Campaign.
  • "Clipper" — a User who creates and submits clips/content for Campaigns.
  • "Campaign" — a paid content task posted by a Brand, with rules, a budget, and a per-view or fixed payout rate.
  • "Payment Partner" — the licensed third-party payment provider that holds and disburses funds (e.g., Razorpay).

2. Eligibility & Accounts

You must be at least [18] years old to earn payouts or fund Campaigns. Users below 18 may use the Platform only with verifiable consent and account operation by a parent or legal guardian, who accepts these Terms on their behalf. You must provide accurate registration details and complete any KYC (including PAN and bank/UPI details) we or the Payment Partner require. You are responsible for activity under your account.

3. Nature of the Platform — Vore is a Facilitator

Vore provides a technology platform that connects Brands and Clippers and facilitates campaign management, content verification and payments. Vore is not a party to the contract between a Brand and a Clipper, is not an employer of Clippers, and does not itself buy, sell or own the content created. Each Brand and Clipper transacts at their own risk. Vore does not hold User funds as principal; all Campaign funds are held and disbursed by the Payment Partner.

4. Brands — Campaigns, Funding & Content Rights

Brands create Campaigns specifying rules, budget and payout rate, and must pre-fund the Campaign budget (plus Vore's fee) into escrow with the Payment Partner before the Campaign goes live.

The Brand represents and warrants that it owns or is validly licensed to use all source content it provides and to authorise Clippers to create and post derivative clips, and that the Campaign does not infringe any third-party rights or law.

The Brand indemnifies Vore against any claim, loss or takedown arising from the source content, Campaign, or the Brand's breach of these Terms.

Unused Campaign budget is refunded to the Brand from escrow. Vore's fee is non-refundable once a Campaign is live, save as required by law.

5. Clippers — Submissions, Content & Licensing

Clippers may join Campaigns, create clips in line with the Campaign rules, post them on the designated platform(s), and submit them for verification.

Clippers warrant that their submissions comply with the Campaign brief and applicable law, are not misleading, and do not infringe third-party rights.

By submitting, the Clipper grants the Brand the content-usage rights specified in the Campaign (e.g., organic-only, repost, or paid-ads licence), and grants Vore a licence to display, track and process the submission to operate the Platform.

Payouts to Clippers are subject to verification, the settling period, fraud checks, and deduction of Vore's commission and applicable taxes (Clause 6).

6. Payments, Escrow, Fees, Verification & Taxes

  • Escrow: Funds flow through the Payment Partner's escrow. Brands pay in; Clippers are paid out on Vore's instruction. Vore never takes custody of the principal.
  • Fees: Vore charges a platform fee of [12%] to Brands and a commission of [10%] on Clipper payouts, or as displayed at the time of the transaction.
  • Verification & settling period: View counts and payouts are finalised after a settling period of [7 days] to allow platforms to remove invalid/bot views. Vore may verify content (including automated thumbnail/metadata matching) and withhold, reduce or reverse any payout it reasonably believes results from fraud, fake views, off-brief content, or breach of these Terms.
  • Taxes: Clippers are responsible for their own taxes on earnings. Vore may deduct tax at source (e.g., under Section 194-O of the Income-tax Act) where applicable and will require PAN for this purpose. GST applies to Vore's fees where applicable.
  • Minimum payout threshold: [e.g., ₹100]. Payouts are made to the Clipper's verified bank/UPI account.

7. Prohibited Conduct

You shall not: submit fraudulent, bot-generated, plagiarised, misleading, illegal, obscene, defamatory, or infringing content; manipulate view counts; create multiple or fake accounts; misrepresent identity; or use the Platform for money laundering or any unlawful purpose. Vore may remove content and suspend accounts that breach this Clause.

8. No Circumvention

Brands and Clippers introduced through the Platform shall not, for the duration of their relationship and for [6 months] after, transact the same or substantially similar Campaign work directly or through another channel with the intent of avoiding Vore's fees. Such circumvention is a material breach and Vore may recover the fees it would have earned, in addition to other remedies.

9. Intellectual Property

The Platform, its software, design, "Vore" brand, logos and content are the exclusive property of Vore. Users receive a limited, revocable, non-transferable licence to use the Platform for its intended purpose. Nothing in these Terms transfers Vore's intellectual property to any User.

10. Content Moderation & Takedown

Vore may review, remove or disable any content that breaches these Terms or applicable law, and may act on valid takedown/IP complaints. Vore is not obliged to monitor all content but may do so. Repeat infringers may be terminated.

11. Disclaimers

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Vore disclaims all warranties, express or implied, including as to campaign outcomes, view counts, earnings, uptime, or the conduct or performance of any Brand or Clipper. Vore does not guarantee any level of views, income, or results.

12. Limitation of Liability

To the maximum extent permitted by law, Vore's total aggregate liability to any User for all claims arising out of or relating to the Platform shall not exceed the total fees actually earned by Vore from that User in the [three (3)] months preceding the claim. Vore shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, or goodwill.

13. Indemnification

You agree to indemnify and hold harmless Vore, its directors, and employees from any claim, damage, loss, liability or expense (including legal fees) arising from your use of the Platform, your content, your breach of these Terms, or your violation of any law or third-party right.

14. Suspension & Termination

Vore may suspend or terminate any account, withhold payouts pending investigation, or remove content, with or without notice, for breach of these Terms, suspected fraud, or legal reasons. You may stop using the Platform at any time; sums validly earned and not subject to dispute or fraud will be paid out in the ordinary course.

15. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect and process personal data in accordance with the Digital Personal Data Protection Act, 2023. By using the Platform you consent to such processing.

16. Third-Party Platform APIs (YouTube & Instagram)

Vore uses the YouTube API Services (YouTube Data API v3) to read publicly-available view count statistics on YouTube videos submitted by Clippers to Campaigns, and the Meta / Instagram Graph API (Instagram Login for Business flow) to read view count statistics on Instagram Reels submitted by Clippers who have connected their Instagram Business or Creator account to Vore. These integrations are used exclusively to verify view counts for payout calculation.

By using the Platform to submit YouTube or Instagram video URLs, or by connecting an Instagram account to Vore, you agree to be bound by the YouTube Terms of Service, the Google Privacy Policy, and Meta's Terms of Service and Instagram Privacy Policy, in addition to these Vore Terms. Vore is bound by the YouTube API Services Terms of Service as an API client.

Clipper obligations: Clippers represent and warrant that they are the account owner of any YouTube channel or Instagram account whose video URLs they submit to Campaigns, that they have the right to submit those URLs to Vore for view-count tracking, and that the submitted content complies with the relevant platform's Terms of Service and Community Guidelines. Submitting videos that a Clipper does not own, or that violate YouTube's or Instagram's policies, is a material breach of these Terms and grounds for account suspension and payout forfeiture.

No content redistribution: Vore does not download, cache, embed, redistribute, or modify any YouTube or Instagram video content. Vore reads only public view-count metadata and (where permitted by the applicable API) minimal display metadata (video title, thumbnail) which is refreshed or deleted within 30 days per the relevant platform's data-handling requirements.

Optional account connection: Vore may offer Clippers the option to connect their YouTube channel via Google Sign-In to verify ownership of submitted videos. This connection is optional, can be revoked at any time from the Clipper's profile or their Google Account settings, and is used solely to confirm channel ownership as described in our Privacy Policy.

17. Changes to these Terms

Vore may update these Terms from time to time. Material changes will be notified through the Platform or by email. Continued use after changes take effect constitutes acceptance.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated at [Bhopal, Madhya Pradesh], before a sole arbitrator; courts at [Bhopal] shall have exclusive jurisdiction.
